Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and EMB-S Digital (“EMB-S Digital,” “we,” “us” or “our”) and govern your use of our websites and landing pages at embs.digital (the “Site”), our forms, booking pages, emails and text message program, and the free growth plan and strategy call (together, the “Services”).

1. Acceptance of These Terms

By using the Services, submitting a form or booking a call, you confirm that you accept these Terms. If you use the Services on behalf of a company, you represent that you have authority to bind that company, and “you” refers to both you and the company.

2. Eligibility

The Services are intended for businesses. You must be at least 18 years old and able to form a binding contract to use them. The Services are not intended for personal, family or household use.

3. Our Services

EMB-S Digital provides growth solutions for equipment rental companies, including paid search and social advertising management, landing pages, CRM automation, lead follow-up systems and performance tracking. Paid services are provided only under a separate written proposal or services agreement (“Client Agreement”). If these Terms conflict with a Client Agreement, the Client Agreement controls.

4. Free Growth Plan and Strategy Calls

• The free growth plan and strategy call are offered with no obligation to purchase.
• Plans, estimates, projections, budgets and examples are for general planning purposes, are based on the information available to us, and are not professional, legal, tax or financial advice.
• You can cancel or reschedule a booked call using the link in your confirmation email or by contacting us.
• We may decline, reschedule or cancel a call at our discretion.

5. No Guarantee of Results

Marketing results depend on many factors outside our control, including your market, competition, pricing, inventory, advertising budget, advertising platform policies and how quickly your team responds to leads. We do not guarantee any specific number of leads, calls, rentals, revenue or return on investment. Any figures on the Site are illustrative examples, not promises.

6. Consent to Communications

By submitting your information, you agree that we may contact you by email and phone about your request. Where you give separate express consent, we may also contact you by text message as described in Section 7. You agree that electronic communications, including emails and notices posted on the Site, satisfy any legal requirement that communications be in writing. You may opt out of marketing communications at any time.

You agree not to:

• Submit false, misleading or third-party information without authorization.
• Use the Services for any unlawful, fraudulent or harmful purpose.
• Interfere with or disrupt the Site, including by introducing malware or attempting unauthorized access.
• Scrape, copy or harvest content or data from the Site using automated means.
• Book calls or submit forms in bulk, as a competitor research exercise or to harass us or others.

9. Information You Provide

You represent that the information you provide is accurate and that you have the right to share it. You grant us a limited license to use that information to provide the Services and as described in our Privacy Policy. Please do not send confidential information you are not authorized to share.

10. Intellectual Property

The Site and its content, including text, graphics, logos, page designs, frameworks and materials, are owned by EMB-S Digital or its licensors and are protected by intellectual property laws. You may view the Site for your own business evaluation. You may not copy, modify, distribute or create derivative works without our written permission. Any free growth plan we deliver is for your internal business use.

11. Third-Party Services

The Services use and may link to third-party services, such as scheduling, video conferencing, messaging and advertising platforms. Your use of those services is subject to their own terms and policies. We are not responsible for third-party services, content or availability.

12. Disclaimer of Warranties

THE SERVICES, THE SITE AND ANY FREE MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EMB-S DIGITAL AND ITS OWNERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE FREE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless EMB-S Digital and its owners, employees and contractors from any claims, damages, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Services, your violation of these Terms or your violation of any law or third-party right.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict of law principles. Before filing any claim, you agree to contact us at evian@embs.digital and try in good faith to resolve the dispute informally for at least 30 days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts.

16. Changes and Termination

We may update these Terms from time to time by posting the updated version on this page and changing the “Last updated” date. Continued use of the Services after changes take effect means you accept the updated Terms. We may suspend or end your access to the Services at any time for any reason, including violation of these Terms.

17. General Terms

• Entire agreement: these Terms and our Privacy Policy are the entire agreement about the free Services. A Client Agreement governs paid services.
• Severability: if any provision is found unenforceable, the rest remains in effect.
• No waiver: our failure to enforce a provision is not a waiver of it.
• Assignment: you may not assign these Terms without our consent. We may assign them in connection with a business transfer.
• Force majeure: we are not responsible for delays or failures caused by events beyond our reasonable control.
